9. FINAL PROVISIONS

1. GENERAL PROVISIONS

The company BTE CHAUFFEUR D'EXCELLENCE, 3 Avenue Emile Zola, 92100 Boulogne Billancourt France, (hereinafter referred to under the trade name BTE CHAUFFEUR D'EXCELLENCE) enables its users to book chauffeured transport services (VTC) through its own online platform, through the integration of third-party online platforms, and through applications for mobile devices (apps; all resources are collectively referred to as BTE technological tools). The service of BTE CHAUFFEUR D'EXCELLENCE consists solely of organising the connection between the user and a transport provider independent of BTE CHAUFFEUR D'EXCELLENCE (TP); BTE CHAUFFEUR D'EXCELLENCE therefore acts as an intermediary and not as a VTC provider.

These general terms and conditions of use (hereinafter referred to as GTC) form an integral part of any agreement entered into by the user with the transport organisation services offered by BTE CHAUFFEUR D'EXCELLENCE. They also describe in detail the transport services resulting from the direct connection between the user and the VTC provider via BTE CHAUFFEUR D'EXCELLENCE.

Modifications to the GTC by the user will not be taken into account, even in the case of written confirmation and services rendered without reservation. Any modification requires the explicit written confirmation of the management of BTE CHAUFFEUR D'EXCELLENCE.

2. CONTRACTUAL RELATIONSHIPS AND CONTRACT FORMATION

2.1 CONTRACTUAL RELATIONSHIPS

The VTC services presented within the framework of the BTE technological tools are not provided by BTE CHAUFFEUR D'EXCELLENCE, nor by third parties. BTE CHAUFFEUR D'EXCELLENCE provides the user with a right of transport only, which is carried out by a VTC provider independent of BTE CHAUFFEUR D'EXCELLENCE.

To this end, BTE CHAUFFEUR D'EXCELLENCE concludes the necessary agreements with the VTC provider in its own name and thus enables the user to access the transport service offered by the VTC provider (contract for the benefit of a third party or transport contract for the benefit of the user). The user is then entitled to demand the provision of the transport service and other rights directly from the VTC provider.

The agreement concluded between BTE CHAUFFEUR D'EXCELLENCE and the user concerns only access to the service and not the transport provision itself. BTE CHAUFFEUR D'EXCELLENCE's right to remuneration includes remuneration for organising access to the service, as well as reimbursement of the remuneration advanced to the VTC provider.

2.2 CONTRACT FORMATION

The user concludes a connection agreement by completing a booking form via the BTE technological tools or by telephone with the BTE CHAUFFEUR D'EXCELLENCE service (ride order by the user). The subject of this agreement is the organisation of a VTC service in accordance with the user's request.

BTE CHAUFFEUR D'EXCELLENCE sends to the user's email address an acknowledgement of receipt containing details relating to the desired transport service. BTE CHAUFFEUR D'EXCELLENCE hereby only confirms receipt of the ride order transmitted by the user.

The connection agreement between BTE CHAUFFEUR D'EXCELLENCE and the user for the requested ride only comes into effect after BTE CHAUFFEUR D'EXCELLENCE has sent an email containing a separate statement (booking confirmation). The user is then entitled to demand the transport service offered by the VTC provider and to assert other rights directly with the latter.

3. USER REGISTRATION REQUIREMENT FOR THE USE OF BTE TECHNOLOGICAL TOOLS

The user is required to ensure that all information transmitted to BTE CHAUFFEUR D'EXCELLENCE by themselves or on their behalf by a third party is complete and correct. Registrations through automated processes are prohibited.

4. SELECTED TOPICS FROM THE TRANSPORT CONTRACT FOR THE BENEFIT OF THE USER

The details described in section 4 concerning a ride order placed by the user (collectively referred to as transport conditions) may only be claimed by the user from the VTC provider if they have been agreed upon within the framework of the service access contract concluded with BTE CHAUFFEUR D'EXCELLENCE.

The following conditions apply to the connection between the user and the VTC provider via BTE CHAUFFEUR D'EXCELLENCE:

4.1 TYPES OF TRANSPORT, SERVICE MODIFICATIONS

Depending on regional availability, the user may choose from transfers, long-distance trips (transfers over 200 km), on-demand trips (on-demand chauffeur), and hourly bookings.

If, following a request by the user or passenger, the journey actually taken involves additional services compared to the planned ride order, the VTC provider undertakes, to the extent possible, to fulfil this request. The unplanned individual service may generate additional charges; please refer to section 5 in this regard.

To the extent that the VTC provider's availability permits, the user or passenger has the right to modify the transport conditions even after the conclusion of the contract in accordance with section 5.2 and the remuneration described therein.

4.1.1

In the case of transfers, long-distance trips, and on-demand trips, the price quoted is valid for a journey between the pick-up address and the destination address. Each stop along the direct route may generate additional charges in accordance with the applicable pricing structure (see section 5 below).

4.1.2

An hourly booking always starts at the pick-up time stipulated in the booking and must end within the municipal area of the pick-up location. If the VTC provider authorises, at the passenger's request, the end of the journey outside the municipal area of the pick-up location, or if the included mileage or the booking duration is exceeded, this generates additional costs, in particular due to the VTC provider's obligation to return to the municipal area of the pick-up location.

4.2 PICK-UP TIME

The agreed pick-up time is that indicated in the BTE CHAUFFEUR D'EXCELLENCE booking confirmation.

Where the user has provided, at the time of booking for an airport or mainline train station pick-up, the flight or train number, making it possible to track the arrival time of the flight or train, the agreed pick-up time will be adjusted accordingly in the event of a change in arrival time.

4.3 VEHICLE CATEGORY / VEHICLE MODEL, UPGRADE

For their ride order, the user may choose from different vehicle categories (e.g., Business Class, Business Van/SUV, First Class, Sprinter Class, or Electric Class).

The vehicles displayed within the BTE technological tools are examples only. These images do not under any circumstances confer the right to demand a specific vehicle model for the booked vehicle category; regional differences are possible in particular.

Depending on availability, an upgrade of the Business Class vehicle category to a higher category (e.g., Business Van or First Class) at no additional charge to the user is possible at any time.

4.4 TRANSPORT SAFETY, CONSEQUENCES

4.4.1 LUGGAGE, ANIMALS

The price indicated in the booking confirmation includes the number of pieces of luggage mentioned in the booking form.

Excess luggage, particularly bulky items such as a wheelchair, weapons, or animals that the user wishes to bring must be indicated at the time of booking. The VTC provider may also refuse to transport luggage, weapons, and/or animals not provided for in the contract. This clause also applies if the animals do not have an appropriate and closed transport carrier. This right of refusal does not apply where local legislation in the region where the transport takes place requires such transport.

If the VTC provider authorises the transport of luggage, weapons, and/or animals not agreed upon, surcharges may be applied. The remuneration for the transport will then be higher than that indicated in the booking confirmation (see section 5 below).

4.4.2 TRANSPORT OF CHILDREN AND MINORS

(A) CHILDREN The user is required to indicate in the ride order, if necessary, the number and age of the children to be transported, as well as the type of equipment required for their transport.

(B) MINORS The VTC provider may refuse to transport unaccompanied minors. Legal majority or minority is defined in accordance with the legal provisions of the region in which the transport is to be carried out.

4.3.3 INFORMATION REGARDING THE NUMBER OF PASSENGERS AND PIECES OF LUGGAGE

The maximum number of passengers and pieces of luggage specified by BTE CHAUFFEUR D'EXCELLENCE for a particular vehicle corresponds to an estimate based on certain factors such as the size and weight of the passengers and luggage. These specifications are not binding.

The VTC provider may refuse to transport persons or luggage to the extent that it considers the space and safety requirements are not met.

4.4.4 IMPOSSIBILITY OF TRANSPORT

The VTC provider reserves the right to refuse a journey if, within the framework of the ride order, the user has omitted to mention or has not correctly mentioned binding requirements (for example, under applicable law) as mentioned in this section 4.3.

If an impossibility of transport results from this omission, this has no bearing on the amount owed to BTE CHAUFFEUR D'EXCELLENCE and provided for by the service access contract concluded with the user for the specific transport.

4.5 DELAYS

Exceptional situations, such as an air traffic controllers' strike, extremely adverse weather conditions, etc., can only be partially compensated for, such that in such cases the user is required to accept extended waiting periods or last-minute cancellations.

4.6 CANCELLATIONS, BOOKING MODIFICATIONS AND NO-SHOWS

4.6.1 CANCELLATION

For transfers, long-distance trips (transfers over 200 km), and hourly bookings, cancellation is free of charge if there is more than one hour remaining before the pick-up time. If there is one hour or less remaining before pick-up, the full price must be paid. A cancellation may only be made using the cancellation functionality on the website or app.

4.6.2 BOOKING MODIFICATIONS

As a general rule, booking modifications are treated as a new booking. The regulations concerning cancellations (section 4.5.1 above) therefore apply to the originally booked journey. The amount charged by BTE CHAUFFEUR D'EXCELLENCE for the originally booked journey may therefore remain unchanged.

4.6.3 NO-SHOW WITHOUT CANCELLATION, USER DELAY

In the event of a no-show without cancellation, the user forfeits their rights against the VTC provider. However, this does not in any way affect BTE CHAUFFEUR D'EXCELLENCE's right to compensation from the user.

(A) TRANSFERS AND LONG-DISTANCE TRIPS A no-show occurs when the user or passenger does not present themselves at the agreed pick-up location within 30 minutes of the agreed pick-up time, without prior cancellation.

For an airport or mainline train station pick-up, a no-show occurs when the user or passenger does not present themselves at the agreed pick-up location within 60 minutes of the agreed pick-up time, without prior cancellation.

In the event of a no-show, the full fare must be paid; however, the waiting time will not incur any additional charges. These rules do not apply if the VTC provider and the passenger have agreed by telephone on a new pick-up time. Additional waiting time charges may be applicable (see section 5.3.1). As a general rule, the user is not entitled to modify the pick-up time.

(B) HOURLY BOOKINGS A no-show occurs when the user or passenger does not present themselves at the agreed pick-up location after the expiry of the booked hours from the booked pick-up time, without prior cancellation.

In the event of a no-show, the user is required to pay the full fare. These rules do not apply if the VTC provider and the passenger have agreed by telephone on a new pick-up time. As indicated in section 4.1.2, the booking time always begins at the pick-up time agreed in the contract. Where the booking time is extended, remuneration is calculated as indicated in section 5.2. As a general rule, the user is not entitled to modify the pick-up time.

4.7 BEHAVIOUR IN THE VEHICLE

With regard to the transport service offered by the VTC provider, the user is required to comply with the following rules of conduct:

For the entire duration of the journey, all passengers are required to comply with road traffic regulations, in particular with regard to wearing a seatbelt. The user is required to comply with any instructions issued by the VTC provider. The VTC provider is responsible for safety during the journey. It is therefore forbidden to open doors during the journey, to throw objects out of the vehicle and/or to extend body parts outside the vehicle, or to shout during the journey. If the user wishes to use devices or equipment present in the vehicle, they are required to follow the instructions given by the VTC provider.

Smoking is prohibited in the passenger area of the vehicle. If the user or a passenger fails to comply with this instruction, they will be required to pay the vehicle cleaning costs and compensation covering the period during which the vehicle was unable to be used.

Eating in the vehicle is not permitted. Prior agreement from the VTC provider is required to bring and consume alcoholic beverages.

5. REMUNERATION AND PAYMENT

5.1 PRINCIPLES

BTE CHAUFFEUR D'EXCELLENCE's right to remuneration is stated in the booking confirmation.

The main factors influencing its amount (reimbursement of BTE CHAUFFEUR D'EXCELLENCE's expenses incurred in organising the transport) are as follows: the selected vehicle category, the distance, the time of booking, the time and, where applicable, the pick-up location.

Special requests, such as a multilingual chauffeur, individual vehicle signage, stops, bulky luggage, child seats, etc., may incur additional charges.

5.2 JOURNEY MODIFICATIONS

The user (as well as the passenger) has the option of modifying the journey conditions even after the conclusion of the service access contract, or, if the VTC provider is able to agree, during the journey.

If the user or passenger wishes to spontaneously extend the journey (distance or number of hours), the actual service (total distance or number of hours) will be recalculated and invoiced at the end of the journey in accordance with the applicable pricing structure. For hourly bookings, each commenced thirty-minute block will be taken into account for billing purposes. To facilitate planning, from the first additional minute, the added time will be rounded up to the nearest half-hour.

The remuneration owed by the user will then be revised upwards due to the increase in BTE CHAUFFEUR D'EXCELLENCE's expense compensation for the transport contract for the benefit of the user.

If the distance or number of hours booked is less than what was provided for in the contract, the originally calculated remuneration will not be revised downwards.

5.3 OTHER SUPPLEMENTS

5.3.1 WAITING TIME FOR SINGLE JOURNEYS

For transfers, waiting times of up to 60 minutes from the agreed pick-up time, where the pick-up location is an airport or mainline train station, or up to 15 minutes from the agreed pick-up time for all other cases, do not incur any additional charge. Each additional minute of waiting will be charged at a flat rate plus VAT based on the applicable hourly booking rates in the relevant municipal area and for the selected vehicle category.

5.3.2 ADDITIONAL KILOMETRES FOR HOURLY BOOKINGS

Hourly bookings include the number of kilometres (per hour) as indicated in the booking form (or by telephone). Additional kilometres will be subject to a surcharge plus VAT based on the applicable rates in the relevant municipal area and for the selected vehicle category.

5.4 PAYMENT METHODS AND TRANSACTION FEES

The user may pay for their journey by credit card. BTE CHAUFFEUR D'EXCELLENCE covers the fees inherent to this payment method. In the case of payment by bank transfer, the user bears any applicable transaction fees (due to different currencies or local accounts, for example).

5.5 PAYMENT REMINDERS, UNPAID CREDIT CARD INVOICES

For each payment reminder, BTE CHAUFFEUR D'EXCELLENCE reserves the right to charge appropriate reminder fees. For unpaid credit card invoices, BTE CHAUFFEUR D'EXCELLENCE will charge the user for the costs incurred (bank, credit card issuer, etc.) and reserves the right to levy appropriate processing fees on a case-by-case basis.

5.6 INVOICE DISPATCH, DUE DATE

The user receives an electronic invoice which they may download via their user account. For credit card payments, payment is immediately due. For bank transfer payments, the due date is indicated on the invoice.

5.7 PROMOTIONAL CODES

Promotional codes are valid for individual use only. They may not be combined with other promotional codes. A promotional code cannot be exchanged for cash.

6. LIABILITY

6.1 PRINCIPLES

BTE CHAUFFEUR D'EXCELLENCE is liable for damages caused by itself or its agents, whether intentionally or through gross negligence.

The transport service provider (TSP), including its drivers, is neither an employee nor an agent of BTE CHAUFFEUR D'EXCELLENCE for the performance of transport services. BTE CHAUFFEUR D'EXCELLENCE provides the user with a direct right of recourse against the TSP for the settlement of transport services.

In the case of damages caused by simple negligence, BTE CHAUFFEUR D'EXCELLENCE's liability is only engaged to the extent that the damages result from a breach of fundamental contractual obligations and constitute foreseeable and typical damages. Fundamental contractual obligations are obligations which, when fulfilled, enable the contract to be performed correctly and upon which the user may regularly rely.

Liability limitations do not apply in the context of stated guarantees, in the case of harm to life, physical integrity, and health, or in the case of claims based on product liability law.

6.2 CONTENT OF THE BTE TECHNOLOGICAL TOOLS

BTE CHAUFFEUR D'EXCELLENCE is not responsible for the accuracy, reliability, completeness, and currency of the content and programmes made available free of charge to users and published within the BTE technological tools, nor for damages resulting from their use, except in cases where such damages are caused intentionally or through gross negligence on the part of BTE CHAUFFEUR D'EXCELLENCE. This applies to all types of damage, in particular damages resulting from errors, delays, failures in technical installations or services, incorrect content, omissions, loss or deletion of data, viruses, or, in general, from the use of this online offering. Furthermore, BTE CHAUFFEUR D'EXCELLENCE assumes no liability with regard to the availability and reliability of the functions offered.

6.3 THIRD-PARTY WEBSITES

BTE CHAUFFEUR D'EXCELLENCE accepts no liability for the content, accuracy, legality, and reliability of third-party websites to which it refers via links. Visiting these sites via the links is done at the user's own risk.

6.4 ACCURACY OF TRANSMITTED INFORMATION, INTERRUPTION OF ACCESS

BTE CHAUFFEUR D'EXCELLENCE is not required to ensure the accuracy and completeness of the information transmitted, or that it is received in a timely manner by the user or the driver. However, this does not apply to the content of the booking confirmation.

BTE CHAUFFEUR D'EXCELLENCE accepts no liability for quality issues relating to access to the BTE technological tools caused by force majeure or by events beyond BTE CHAUFFEUR D'EXCELLENCE's control, in particular failures in communication networks and/or gateways. BTE CHAUFFEUR D'EXCELLENCE cannot guarantee uninterrupted and error-free operation of the websites or the correction of any errors that may arise.

6.5 USER INDEMNIFICATION

The user shall indemnify BTE CHAUFFEUR D'EXCELLENCE against all claims and costs, including legal fees, brought by a third party against BTE CHAUFFEUR D'EXCELLENCE arising from use of the BTE technological tools that is not in accordance with the contract or from a breach of these general terms and conditions of use.

6.6 ITEMS LEFT BEHIND

No liability is assumed for items left behind in the vehicle.

7. MODIFICATION OF THE OFFER BY BTE CHAUFFEUR D'EXCELLENCE

BTE CHAUFFEUR D'EXCELLENCE reserves the right to modify the BTE technological tools at any time for the benefit of the user in order to develop and improve their quality. Furthermore, should important reasons so require, BTE CHAUFFEUR D'EXCELLENCE reserves the right to temporarily or permanently discontinue its offering concerning the BTE technological tools without prior notice to the user.

8. CONTENT PROTECTION, GRANTING OF USAGE RIGHTS FOR BTE TECHNOLOGICAL TOOLS

The content of the BTE technological tools is protected by intellectual property laws.

BTE CHAUFFEUR D'EXCELLENCE grants the user a revocable authorisation, subject to the condition that these GTC are complied with, to use the BTE technological tools in accordance with the provisions. Any use outside this framework (modifications, copies, republications, transmissions, distributions, or any other use for unlawful purposes) is prohibited.

9. FINAL PROVISIONS

9.1 ENTIRE AGREEMENT, WRITTEN FORM

These GTC represent the entire agreement concluded between BTE CHAUFFEUR D'EXCELLENCE and the user with respect to the subject matter of the service. There are no ancillary agreements. Modifications and additions to this agreement require written form.

9.2 SET-OFF, RETENTION, AND ASSIGNMENT

The user may only set off claims of BTE CHAUFFEUR D'EXCELLENCE and exercise a right of retention to the extent that their claims against BTE CHAUFFEUR D'EXCELLENCE or their counterclaims have been established with legal force or are undisputed. This also applies in the event of a claim by the user.

The user may assert their rights of retention for claims under this section 9.3, paragraph 1, to the extent that these are based on the same contractual relationship.

The user is not permitted to assign to a third party the rights arising from the contractual relationship without the explicit written agreement of BTE CHAUFFEUR D'EXCELLENCE.

9.3 APPLICABLE LAW, JURISDICTION

For all legal relations between BTE CHAUFFEUR D'EXCELLENCE and the user, the sole applicable law is the law of the French Republic as stipulated in the case of legal relations between French parties.

The place of performance is Paris.

9.4 INFORMATION REGARDING ONLINE DISPUTE RESOLUTION

The ODR platform serves as a point of contact for the out-of-court settlement of disputes concerning contractual obligations arising from online sales contracts or online service contracts. You can access the ODR platform via the following link: ec.europa.eu/consumers/odr.

BTE CHAUFFEUR D'EXCELLENCE is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

9.5 SEVERABILITY CLAUSE

If any provision of these terms proves to be invalid or impossible to implement, or contains gaps, the remaining provisions shall remain in force. The parties undertake to replace invalid, unenforceable, or missing provisions with provisions that most closely reflect the meaning and economic purpose, as well as the intention of the parties.
